| Abstract | ||
| يُعد إعادة التنظيم المالي وإعادة التنظيم المالي لصغار الدائنين من الوسائل البديلة التي وضعها نظام الإفلاس السعودي الجديد، لتجنب شهر إفلاس المشروعات التجارية المتعثرة ووقايتها من الوقوع في براثن الإفلاس. فمن خلال إعادة التنظيم المالي وإعادة التنظيم المالي لصغار الدائنين يستطيع المدين سواء كان شخصًا طبيعيًا أو معنويًا، تاجرًا أو مهنيًا أن يتقدم إلى المحكمة بطلب إعادة التنظيم المالي، ويُعد هذا الإجراء أحد الإجراءات الإستباقية للتصفية بهدف إعادة هيكلة نشاط المدين، سعيًا لتحقيق أهم أهداف نظام الإفلاس الذي يتمثل في دعم الإقتصاد وتنميته وضمانًا للمعاملة العادلة للدائنين وخفض تكلفة الإجراءات وزيادة فعالياتها. ولقد خلص هذا البحث إلى: أن المنظم السعودي ابتغى من تقريره لحق المدين في الاحتفاظ بإدارة مشروعه في إجراء إعادة التنظيم المالي وإعادة التنظيم المالي لصغار المدينين، لأنه هو الأقدر على تجاوز المشكلات والصعوبات التي واجهت مشروعه والتي أدت إلى تعثره، وهو الأقدر كذلك على الإستمرار في إدارة هذا المشروع للخروج به من تعثره، والعمل مع الأمين على تجاوز جميع الصعوبات والمعوقات التي أحاطت بمشروعه، والعمل على استعادة مركزه المالي وعودة مشروعه إلى ما كان عليه قبل تعثره. ولقد انتهى هذا البحث إلى: التوصية بضرورة أن يتضمن مقترح إعادة التنظيم المالي وإعادة التنظيم المالي لصغار المدينين رؤية واستراتيجية واضحة لكيفية إعادة تنظيم المشروع المتعثر على الصعيدين المالي والإداري على مستوى الأجل القصير والبعيد. وعليه يجب أن يتضمن مقترح إعادة التنظيم المالي وإعادة التنظيم المالي لصغار المدينين إجراءات أولية تهدف إلى تثبيت التعثر والإضطراب الذى يمر به المشروع المتعثر المطلوب إعادة التنظيم المالي له، وفي المقابل وضع خطة الإجراءات والتدابير أيضاً ما يمكن الدائنون من استكشاف الأفاق المستقبلية للمشروع في الأجل البعيد، وكذلك يجب أن يتضمن المقترح أيضاً كيفية الوفاء بالديون المستحقة للدائنين الحاليين، إذ يمثل تحصيل أكبر قدر من الديون المستحقة للدائنين والوفاء بها، مقصداً من المقاصد الرئيسية لإعادة التنظيم المالي. Abstract : Financial reorganization of small creditors are among the alternative means developed by the new Saudi bankruptcy system, to avoid declaring the bankruptcy of troubled commercial projects and prevent them from falling into the clutches of bankruptcy. Through financial reorganization of small creditors, the debtor, whether a natural or legal person, a merchant or a professional, can submit to the court a request for financial reorganization. This procedure is considered one of the pre-emptive procedures for liquidation with the aim of restructuring the debtor’s activity, in an effort to achieve the most important objectives of the bankruptcy system. Which consists of supporting and developing the economy, ensuring fair treatment of creditors, reducing the cost of procedures and increasing their effectiveness. This research concluded that: The Saudi regulator sought to determine the right of the debtor to retain management of his project in conducting financial restructuring of small debtors, because he is the most capable of overcoming the problems and difficulties that faced his project and that led to its faltering, and he is also the most capable of continuing in the process. Managing this project to get it out of its stumble, working with the Secretary to overcome all the difficulties and obstacles that surrounded his project, and working to restore its financial position and return his project to what it was before it. This research concluded by: Recommending that the proposal for financial reorganization for small debtors should include a clear vision and strategy for how to reorganize the troubled project at the financial and administrative levels in the short and long term. Accordingly, the proposal for financial reorganization for small debtors must include preliminary measures aimed at stabilizing the faltering and turmoil experienced by the troubled project for which the financial reorganization is required, and in return, a plan of procedures and measures must also be drawn up, enabling the creditors to explore the future prospects of the project in the long term. The proposal must also include how to settle the debts owed to current creditors, as collecting and fulfilling the largest amount of debts owed to creditors is one of the main objectives of financial reorganization. | ||
