Abstract
تتلخص الدراسة في محاولة الوقوف على الأساس القانوني للمسؤولية التعاقدية لمدير المساهمة العقارية؛ حيث برزت أهمية البحث من خلال الدعوى إلى محاولة تطويع النصوص القانونية -ولا سيما القانون المدني- لغرضٍ بات له من الأهمية بمكان في ظل التطورات المتسارعة التي يعيشها العالم اليوم، ألَا وهو غرض استقرار الأوضاع الاقتصادية في مصر وخلق فرص عمل؛ ولا يتحقق ذلك الاستقرار إلا بالاتفاق ومراعاة نصوص القانون، بحيث تُراعَى حقوق أطراف التعاقد في المشروعات الاقتصادية، ومنها المساهمات العقارية.
وهنا تبرز أهمية مدير المساهمة العقارية كونه الشخص المعيَّن والمرخَّص له لإدارة المشروع وتطوير وتنفيذ استراتيجيات المساهمة العقارية، والتفاوض على العقود والاتفاقيات الخاصة بالمشروع.
وقد انتهت الدراسة إلى أن مسؤولية مدير المساهمة العقارية عند إخلاله بالتزاماته التعاقدية تقوم على أساس أن هذا العقد خاص ومستقل، كما انتهت إلى ذلك غالبية تشريعات الدول العربية. وانتهت الدراسة أيضًا إلى أن التزام مدير المساهمة العقارية هو التزام بتحقيق النتيجة المرجوة منه من العقد وليس بذل عناية. ويضمن مدير المساهمة العقارية إنجاز المشروع وتسليم الوحدة العقارية للمشتري حسب الاتفاق، ويلتزم بنقل الملكية، كما يلتزم بضمان التعرض والاستحقاق وضمان العيوب الخفية، لا سيما العيب الذي يؤثر على سلامة ومتانة البناء. وقد انتهجت الباحثة المنهج التحليلي الاستقرائي.
 
Abstract:
The study is summarized in an attempt to identify the legal basis for the contractual responsibility of the real estate contribution manager, where the importance of research emerged through the lawsuit to try to adapt the legal texts - especially the civil law - for a purpose that has become of great importance in light of the rapid developments that the world is experiencing today, namely the purpose of stabilizing the economic conditions in Egypt and creating job opportunities, and this stability can only be achieved by agreement and observing the provisions of the law, so that the rights of the contracting parties to economic projects, including real estate contributions, are taken into account. Here, the importance of the real estate shareholding manager emerges as he is the appointed and licensed person to manage the project, develop and implement real estate shareholding strategies, and negotiate contracts and agreements for the project. The study concluded that the responsibility of the real estate shareholding manager when he breaches his contractual obligations is based on the fact that this contract is private and independent, as concluded by most of the legislation of the Arab countries. The study also concluded that the obligation of the real estate shareholding manager is an obligation to achieve the desired result of the contract and not to exercise care. The Real Estate Shareholding Manager guarantees the completion of the project and the delivery of the real estate unit to the buyer as agreed, and is committed to transferring ownership, as well as ensuring exposure, entitlement and guarantee of hidden defects, especially defects that affect the safety and durability of construction. The researcher adopted the inductive analytical approach.
